Qualified Entrant, Entry and SMS

A qualified entrant is 14 years of age or older. SMS employees, as well as family and household members of same residing at the same address are not eligible.
A qualified entry must be an original SMS Model Search Entry form only located at and submitted to SuperModelScouts through the Internet Websites www.supermodelscouts.com. Such entry must be completed in its entirety by the entrant. SMS shall assign, in sequential order as received, an Profile Number to each entry received.
An entrant may only submit one entry.

Contest Period

The Contest runs from September 01, 2003 up to on or before 12:00 midnight Pacific Time on August 31, 2004.

Draw Date and Draw

The Draw Date is on or before August 31, 2004, or as soon as practicable.
Upon an Entry Number (Profile Number ) being chosen, SMS will certify and declare that the entrant assigned to that Entry Number the Winning Entrant if such entry and entrant meets these Conditions. If not, SMS shall select another entry. An entry or entrant not meeting these Conditions shall be disqualified. Any disqualified entry or entrant cannot win any prize.
SMS shall contact the Winning Entrant.
To receive the Prize, the selected Winning Entrant must have represented themselves honestly on the form and be flexible to meeting the trip itinerary . If not, that Winning Entry Number and Entrant will be disqualified and SMS shall select another Winning Entrant.

Prize

The Prize is a trip to New York, USA (airfare and accommodations included). The purpose of said trip is to introduce the winner to member modeling agencies in New York. No single lump sum payment or cash alternative in lieu of the Prize.

Other Conditions

SMS reserves the right to substitute the Prize with one of equal or greater value ($3000 USD).
The Prize must be accepted as awarded.
SMS in its sole and absolute discretion selected the Prize.
In making a Prize available to the Winning Entrant, SMS makes no representations or warranties whatsoever either expressed or implied, oral or written in respect to such prize.
SMS shall not be liable to the Winning Entrant nor to any other person for loss or damage to person or property resulting from or connected with acts or omissions of the Prize.
SMS is not responsible for any entry, transaction or transmission of the entry data that is omitted, illegible, late, lost, delayed, garbled, destroyed, misdirected or not recorded due to failure(s) or error(s) for any reason of the entrant, Internet, Internet Provider(s) or any personal computer(s) used by the entrant.
SMS is not liable for any loss or damage to any entrant or their computer or any other property related to or resulting from participating in this contest or downloading any material related thereto.
SMS may at its sole discretion alter, amend, suspend, or cancel this contest or amend the draw procedures or draw method at any time.
SMS reserves the right to publish the name, location and a recent photograph of the Winning Entrant in any medium without remuneration.
All entries become the property of SMS.
Decisions of SMS are final.

Acceptance of the Terms and Conditions

Model Search Internet Contest site ("The Site") and its services are subject to the following Terms and Conditions ("TaC"). Please read the TaC carefully before using or registering for The Site. Your use of The Site will indicate your agreement with the TaC and your acceptance to be bound by them.

Membership Registration and Access

In order to use The Site, you are not obliged to register as a member. However, not registering prevents you from taking advantage of many of the benefits that members may enjoy from time to time. If you choose to register, you will be given credit for any content you provide to The Site. If you choose to register, you agree to: (1) Provide accurate and complete information when prompted to do so by the registration forms; and (2) Maintain and update such information so it remains accurate and complete.

Password and Security

If you choose to register as a member of The Site, you will be asked to choose a User Name and Password. You are responsible for keeping your User Name and Password confidential. You are also responsible for any activity occurring through the use of your User Name and/or Password. You agree to immediately notify SMS if you suspect any unauthorized use of your account, your User Name or your Password. SMS will not be responsible for any loss to you arising from your failure to comply with these terms.

Privacy

Your privacy is important to SMS. All information that is gathered from you in connection with your use of The Site will be governed by the Privacy Policy.

Submission of Feedback and Other Content

You acknowledge and understand that all stories, opinions, news articles, text, photographs, illustrations, logos, audio clips, images, information, data, graphics messages or other materials ("Content") appearing on The Site or submitted to The Site are the responsibility of the person or entity that originated the Content. By submitting Content to the Contest Portal, you warrant that: (1) You are the owner of the Content, or have been granted all the rights necessary from the Content owner to submit such Content to The Site; and (2) The use of such Content by SMS will not infringe on the intellectual property rights or otherwise violate the rights of any party. By submitting Content to The Site, you automatically grant to SMS (or warrant that the Content owner has granted to SMS) a non-exclusive, royalty-free licence to use, modify, distribute, copy, transmit, display, publish, adapt, create derivative works of, distribute, transfer or sell any such Content, for any purpose whatsoever, including, without limitation, commercial purposes, without any compensation to you. You also agree that you will not publish, submit or display such Content to or on any other Web site or online service (except your own personal Web site) without SMS's prior written consent. Consent may be requested by sending an e-mail to: support@supermodelscouts.com or writing to: Consumer Services - SuperModelScouts.com - clearly indicating your request in your e-mail or letter. You understand that SMS will have the right (but under no circumstances the obligation) to screen, edit, refuse to post or remove any Content, in whole or in part, from any portion of The Site at their sole discretion. This includes, but is not limited to, Content that violates the TaC or is otherwise objectionable. SMS reserves the right to disclose any Content as necessary to satisfy any applicable law, regulation, legal process or government request as per the Privacy Policy.

Member Conduct

You agree that you will not use The Site to:

submit, post, upload or otherwise transmit any Content that infringes or otherwise violates the rights of any third party, including without limitation, privacy rights and proprietary rights;
submit, post, upload or otherwise transmit any Content that is defamatory, libelous, abusive, tortuous, harassing, vulgar, obscene or otherwise indecent;
submit, post, upload or otherwise transmit Content that contains viruses, corrupted files or any other similar software or programs that may damage the operation of another's computer;
advertise, offer to sell any goods or services or make use of The Site in any other way for any commercial purpose;
conduct, display or forward surveys, contests, "spam" or chain letters;
impersonate, or otherwise misrepresent any person, entity or affiliation with any other person or entity;
falsify or delete any attributions, legends or other proprietary designations of the origin or source of software or other Content appearing on the service or contained in a file that is uploaded;
harm minors;
stalk or harass another individual;
collect or store personal data about other members; or
violate any applicable local, provincial, federal or international law or regulation.

Changes to The Site or to the TaC

SMS may modify, suspend or discontinue any portion of The Site at any time without notice. Additionally, SMS reserves the right to modify the TaC at any time without any prior notice. If SMS makes any changes to the TaC, we will notify you by posting a prominent announcement on The Site. You will review the TaC periodically and regularly. Your continued use of The Site shall explicitly confirm your agreement to accept the TaC and any of its revisions at any given time.

Failure to Comply with the TaC

You acknowledge and agree that SMS may terminate your membership and/or deny you access to The Site without prior notice if you engage in any conduct that SMS believes violates any term or provision of the TaC, violates the rights of SMS or is otherwise inappropriate for continued access to and use of The Site. In addition, SMS reserves the right to terminate inactive membership accounts. You agree that, upon termination, we may delete all information related to your account and may bar you access to your account and to The Site until such time as you provide your information again by rejoining The Site.

External Links

The Site may contain links to Web sites operated by third parties. SMS is not responsible for content located on these sites or for your time spent with them. Including these links does not imply that SMS endorses or guarantees the appropriateness or validity of the third party sites.

Indemnity

You agree, for yourself, and for your agents, servants, successors and assigns, to indemnify and hold SMS, their subsidiaries, affiliates, officers, agents and employees harmless against and from any and all claims or demands which may be made against them, including reasonable legal fees made by any third party, due to or arising out of the Content you submit, post to or transmit through The Site, your use of The Site, your connection to The Site, your violation of the TaC or your violation of any rights of another.

WARRANTY DISCLAIMER - PLEASE READ CAREFULLY

You expressly understand and agree that: (1) Your use of The Site is at your own risk; (2) The Site is provided on an "as is" and "as available" basis. SMS expressly disclaims all warranties of any kind, whether express or implied; (3) SMS make no warranty that: (a) The Site will meet your requirements; (b) The service will be uninterrupted, timely, secure or error-free; (c) The results that may be obtained from use of The Site will be accurate or reliable; nor (d) Any errors in the software will be corrected; (4) Material downloaded or otherwise obtained through the use of The Site and the service is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material; (5) No advice or information, whether oral or written, obtained by you from SMS or through or from The Site shall create any warranty.

LIMITATION OF LIABILITY - PLEASE READ CAREFULLY

You expressly understand and agree that SMS is not liable for any damages or loss of any kind whatsoever, including, but not limited to, loss of profits, loss of good will, loss of use, loss of data or any other tangible or intangible losses or damages (even if SMS has been advised of the possibility of such loss or damage), resulting from anything whatsoever, including, but not limited to: (1) The use of or inability to use The Site; (2) The cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from The Site; (3) Unauthorized access to or alteration of your transmissions or data; (4) Statements or conduct of any individual who in any way uses, or is connected to, The Site; (5) Statements, conduct, actions or omissions, including but not limited to the negligence, gross negligence, breach of contract or any other wrongful act on the part of any party whatsoever, including but not limited to, SMS, their subsidiaries, affiliates, officers, agents and employees; (6) Any other matter relating to The Site or its service.

Complete Agreement

The Terms and Conditions make up the entire agreement between you and SMS.

This Privacy Policy is applicable to the SMS Web site only (The Site).

SMS respects the privacy of their customers and will protect that privacy as vigorously as possible. SMS does not collect information that personally identifies individuals except when individuals provide such specific information on a voluntary basis. Because of the nature of The Site, there may be occasions where specific personal information is requested before an individual can enter certain sections of The Site. For example, registration is needed to allow SMS to communicate with all entrants in the Model Search Internet Contest, in particular the winner of the contest. This kind of registration helps us to ensure that content standards on these sections of The Site are rigorously upheld or that contact can be made with the prize winner. In all such cases, SMS will collect only information that is voluntarily provided by the user and will make every reasonable effort to ensure that such information will be kept strictly confidential.

SMS does reserve the right, however, to perform statistical analyses of user behavior and characteristics, in order to measure interest in and use of the various sections of its sites so as to improve design in navigation and to gather marketing information. As well, users should be aware that certain non-personal information and data may be automatically collected by SMS through the operation of what are called "cookies". Cookies are small text files that identify an individual computer's browser entering a Web site. They allow The Site to track that browser's movement through The Site over several sessions. Through cookies, The Site will recognize repeat users, facilitate the user's access to and use of The Site and allow The Site to track usage behavior so as to permit content improvements.
